Terms of Services Agreement

BY PURCHASING A COASTSOUL LIVING, LLC E-DESIGN ROOM OPTION, YOU AGREE TO THE FOLLOWING TERMS AND CONDITIONS.  

WE RECOMMEND YOU PRINT A COPY OF THIS AGREEMENT FOR YOUR RECORDS.

 

E-DESIGN IS AN ONLINE DESIGN AND CONSULTATION SERVICE ONLY.  Kathleen Ludlow subsequently referred to as “THE DESIGNER” IS NOT LIABLE FOR ANY DAMAGE OR INJURY RESULTING FROM THE PURCHASE OF SERVICES, RECOMMENDED PRODUCTS (FURNITURE, ACCESSORIES, OR OTHER DECOR) SHIPPING, AVAILABILITY, OR INSTALLATION OF THE ABOVE BUT NOT LIMITED TO SAID SERVICES OR PRODUCTS.


This E-DESIGN SERVICE AGREEMENT is made effective on the DATE OF PURCHASE, by and between the CLIENT, and The DESIGNER Kathleen Ludlow, of COASTSOUL LIVING, LLC.  All recommendations are “suggestions” to transform the look of your space.   The services and/or products purchased are not a substitute for professional mental health treatment or physician-prescribed medications.


 I.        DESIGN SERVICES

After a room option purchase, the Designer provides the Client with the following services:

  1. Auto/Send Client Questionaire and Meeting Invite date of purchase
  2. Receive and review the Client’s initial project intake inquiry and questionnaire within two (2) business days.
  3. Host Client’s project Kick Off Meet and Greet. At the meeting, the Designer will review and discuss the project scope
  4. Two (2) business days after the kick-off meeting, the Designer will provide the Client with the following:
    – a client intake questionaire
    – A detailed Project plan &  Timeline WITH REQUIRED DEADLINES FOR SUCCESSFUL PROJECT COMPLETION.
    – A personal project Pinterest board
    – Client Materials Submissions Checklist (See Section II).
  5. After the requested Client submissions are received (up to five (5) business days after the initial meet and greet consult), the Designer will schedule, within two (2) business days of the materials submission date, the number of phone/online Client consultations as per the room option purchased.
  6. The Designer will prepare the number of design vision board(s) per the room option purchased for Client review and feedback during the first prescheduled weekly design consultation meeting.
  7. At the first design board review consultation meeting, as per the room option purchased, the Designer and Client will review the design board(s) and discuss modifications based on the number of modifications allowed per the purchased room option.
  8. The Designer will review and provide the desired Client modification in writing to the Client within two (2) business days of the meeting for the client’s approval.
  9. The Designer will make the necessary changes to the design board(s) for the second prescheduled weekly design consultation meeting.
  10. After the specified number of design consultations and revisions in the room option purchased is completed, the designer will provide the Client with a final design vision board, room layout, and a detailed final product list for approval and payment for the Designer to purchase and ship to the Client.
  11. The designer will purchase the Client’s product list within three (3) business days and report any issues to the Client, as well as tracking information.  
  • The Designer agrees to provide service hours up to, but not exceeding, the number of project service hours per the Client’s purchased room option i) 16, ii)8, iii)4.
  • Should the project’s hourly scope exceed the number of hours purchased in the Client’s room design option, the Client agrees to purchase, at the Designer’s discretion and best estimate, the necessary additional service hours, at the hourly rate of $149, to complete the project.

 

II.        CLIENT MATERIAL SUBMISSIONS & PROJECT REQUIREMENTS

The Client hereby agrees to supply the Designer with the requested project materials and information submissions within five (5) days of the initial meet and greet Client kick-off meeting.

 

  1. A completed detailed Client / Design Questionnaire.
  2. Inspiration images or Pinterest boards.
  3. Decent quality digital images of the existing area or room, containing all existing furniture, decor, walls, and views; and accurate measurements of the space, and room contents (as requested.)
  • All Project Materials are to be submitted to the Designer within the secure online Client design portal—submission instructions will be provided
  • If Project Materials are not submitted to the Designer within five (5) days of the requested date, the Client hereby agrees that the Designer shall not be liable to complete the Design Services within six (6)  – eight (8) weeks after purchase and forgoes their deadline date with either, at the Designer’s discretion, project cancelation or a resumed project start date.

III.        CLIENT CONSULTATION MEETINGS REQUIREMENTS

 

  • The Client agrees to attend the first project consultation within five (5) business days of room options purchase.
  • If the initial meeting is meeting is unattended, the Client hereby agrees that the Designer shall not be liable to complete the Design Services within six (6) weeks after purchase, the Client relinquishes their deadline date, and at the Designer’s discretion, aggress to the Designers revised project resume start date
  • Attend all subsequent pre-scheduled phone/online design project meetings
  • If project meetings are unattended, the Client hereby agrees that the Designer shall not be liable to complete the Design Services within six (6) weeks after purchase, the Client relinquishes their deadline date, and at the Designer’s discretion, the Designer may exercise the right to cancel the project.
  • The Client may, at the Designer’s discretion, reschedule consultation meetings two (2) business days before the meeting—providing that the rescheduled date does not offset any of the pre-set project timeline dates, causing considerable delays, or jeopardize the overall project completion.

 

IV.        SERVICE PERIOD

  • Provided the Client has submitted all requested material within the requested period and attended all pre-scheduled design consultation meetings, the Designer agrees to furnish the purchased completed Design Services within six (6) – eight (8) weeks following the submission date of the client’s required materials.
  • The Designer agrees to respond to the Client’s email messages within two (2) business days.

V.        CHANGES OR MODIFICAITONS

  • The Client may only request, in writing and/or verbally at a design consultation meeting, or via email, the number of revisions specified as per the room option purchased,

  • The Designer agrees to prepare the specified number of revisions (as per the room option purchase) to the initial design vision boards and layout.
  • All revisions or alternate product recommendations are to be discussed within design consultation service meetings.
  • Change requests from the Client outside this period are not guaranteed by the Designer and may be subject to a fee.
  • In addition, change requests from the Client outside the scope of the purchased room option are not guaranteed by the Designer and may be subject to a fee.
  • Additional change requests/hours outside the scope of the purchased design room option may be purchased, at the hourly rate of $149. A one-hour minimum is required.

VI.        REVIEW AND FEEDBACK

  • The Client will provide verbal feedback during design meetings, and provide subsequent written confirmation and approcal of identified design and/or products for revisions.
  • Following the completion of the requested revisions, to fulfill the purchased design room option, the Client will be required to review and approve all final revisions including, but not limited to, design vision board(s), room layout, and product selection and prices, within five (5) days of submission from the Designer.

VII.        CANCELATION POLICY

The Designer reserves the right to cancel or reschedule the Client’s project if the requested Client project materials are not submitted within the requested period, or if design consultation meetings are unattended or repeatedly rescheduled, and project timeline dates are consistently late or completely unmet.

 

VIII.        PURCHASING CLIENT PRODUCTS

  • The Designer will provide the Client with a list of products for approval.
  • Each product will contain specifics about the product and the Designer’s selling price.
  • Clients agree not to self-purchase suggested products.
  • Selected vendors, products, and prices fall under the intellectual property terms outlined in this agreement.
  • All purchases made by the Designer from an affiliated vendor are at the Client’s risk and expense.
  • As such, each vendor has varied processes and procedures and it is the Client’s responsibility to read and accept any supplemental vendor’s specified terms, conditions, return policy, and delivery methods provided by the Designer.

IX.        TERMS OF AGREEMENT

The Term of this Service Agreement begins on the E-Design Package Purchase Date and remains in force for six (6) – eight (8) weeks.  

  • The Term may be extended with the written consent of each of the Parties.  

 

 

X.        E-DESIGN SERVICE FEE(S)

  • The Designer will charge the Client a flat fee for services based on the room option purchased.
  • The Client is required to purchase the E-design Service room option with 100% payment in advance.
  • All services and product purchases made by the Designer for the Client are non-refundable and non-transferable.
  • The Client is required  to submit  100% PAYMENT IN ADVANCE. for The purchase of the E-design products to be made by the designer, such as but not limited to furniture, décor, and ACCESSORIES 
  • Clients are responsible for post-delivery product returns or exchanges and subsequent fees.
  • The Designer may collect monies by using affiliate links or other commissions for the Client’s project product purchases.

 

XI.        OWNERSHIP OF INTELLECTUAL PROPERTY

All intellectual property and related material  developed or produced under this Agreement is the property of the Designer and may be used for promotional purposes. The Client is granted a non-exclusive limited-use license of this Intellectual Property. Title, copyright, intellectual property rights, and distribution rights of the Intellectual Property remain exclusively with the Designer.
